These Terms and Conditions ("Terms") govern your access to and use of listnowforless.com and any related services (the "Site"). The Site is operated by Magnum Machines Inc., a Wyoming corporation ("we", "us", "our").

By accessing the Site, creating an account, or posting a listing, you agree to these Terms. If you do not agree, do not use the Site.

1. What the Site Is

ListNowForLess is a classified advertising platform. We provide a venue where sellers publish listings and buyers find them. We do not:

• own, inspect, store, or ship any item listed on the Site;
• process payments between buyers and sellers;
• hold funds, act as an escrow agent, or transmit money;
• act as a broker, dealer, agent, auctioneer, or appraiser in any transaction between users.

All transactions are conducted directly between buyer and seller, off the Site. We are not a party to those transactions and have no control over them.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of a business, you represent that you are authorized to bind that business to these Terms.

3. Accounts

You are responsible for the accuracy of the information in your account, for keeping your password confidential, and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without your authorization.

One person or business may not maintain multiple accounts to evade listing limits, fees, or a suspension.

4. Seller Verification

Sellers who reach the thresholds set by the federal INFORM Consumers Act, and sellers we designate as business sellers, must provide and keep current: a bank account number or the name of the payee for payments; contact information; a business tax identification number; and a working email address and phone number. We may suspend listings or accounts if this information is not provided, cannot be verified, or is not corrected after notice.

We may require documentation before approving a storefront.

5. Listing Rules

When you post a listing, you represent that:

• you own the item or are authorized to sell it;
• the description, photographs, condition, hours, mileage, year, and price are accurate and not misleading;
• the item may lawfully be sold and transferred in your jurisdiction and the buyer's;
• you hold any license, permit, or registration your sale requires;
• you own the rights to any images or text you upload, or have permission to use them.

Listings must be placed in the correct category and must describe a single, genuine item or service. Listings that exist to advertise another website, collect leads, or promote a competing platform are not permitted.

We may edit, reclassify, refuse, or remove any listing at our discretion, with or without notice.

6. Prohibited Items and Conduct

You may not list, and may not use the Site to arrange the sale of:

• firearms, ammunition, explosives, and their components;
• live animals;
• controlled substances, drug paraphernalia, tobacco, vaping products, and prescription medication;
• counterfeit goods, replicas, or items that infringe another party's trademark or copyright;
• stolen property, or goods subject to an active recall or safety notice;
• equipment with a tampered odometer, hour meter, serial number, or emissions system;
• human remains or body parts;
• items whose sale, export, or transfer is restricted under U.S. law, including sanctions and export controls;
• adult content, and anything sexualizing a minor;
• any other item we determine is unlawful or inappropriate for the Site.

You also may not: post false or duplicate listings; scrape, index, or copy Site content by automated means; interfere with the operation or security of the Site; harass other users; send unsolicited commercial messages through the Site; or misrepresent your identity or your relationship to a business.

7. Fees and Paid Services

Publishing standard listings is free within the limits of your membership plan. We offer paid services, which currently include:

• Membership plans - recurring subscriptions granting a higher number of active listings and additional features;
• Promoted listings - paid placement of a listing above standard results for a fixed period;
• Banner placements - paid display advertising on the Site.

Prices are shown in U.S. dollars and are stated on the Site at the time of purchase. We may change our prices at any time; a change does not affect a period you have already paid for. You authorize us to charge your payment method for the fees and any applicable taxes.

Fees are charged for advertising and promotional placement. They are not commissions on sales, and we take no percentage of any transaction between users.

8. Refunds

Membership subscriptions may be cancelled at any time and take effect at the end of the current billing period. We do not provide partial refunds for an unused portion of a billing period.

Promoted listing fees are not refundable once the promotion has begun, except where we remove the listing for a reason not attributable to you, in which case we will refund the unused portion.

If we suspend or terminate your account for breach of these Terms, no refund is due.

If you believe you have been charged in error, contact us at support@listnowforless.com within 30 days of the charge and we will investigate.

9. Your Responsibility in Transactions

You are solely responsible for evaluating the other party, the item, and the terms of any transaction. We recommend that you inspect equipment in person or arrange an independent inspection, verify title and lien status, confirm serial and identification numbers, and use a traceable payment method.

Requests to wire funds before inspection, unusually low prices, sellers who refuse a phone call, and pressure to close quickly are common signs of fraud. We do not verify the identity, solvency, or good faith of every user, and we do not guarantee that any listing is genuine.

You assume all risk arising from your dealings with other users.

10. Your Content

You retain ownership of the text and images you upload. By uploading them, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt for display, and distribute that content for the purpose of operating and promoting the Site. This licence ends when you delete the content, except for copies retained in backups or required by law.

You are responsible for your content. We do not endorse it and do not systematically review it before publication.

11. Intellectual Property

The Site, its design, logos, and the ListNowForLess name are our property or that of our licensors. You may not copy, modify, or use them without our written permission.

If you believe content on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to support@listnowforless.com. Your notice must identify the work, identify the material and its location on the Site, give your contact details, and include a statement made under penalty of perjury that you are authorized to act on the owner's behalf. We remove infringing material and terminate the accounts of repeat infringers.

12. Third-Party Links

Listings and pages may link to sites we do not control. We are not responsible for their content, products, or practices.

13. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, if we are required to by law, or if we reasonably believe your use of the Site harms other users or us. You may close your account at any time.

Sections 9, 10, 14, 15, 16, and 17 survive termination.

14. Disclaimer of Warranties

The Site is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that listings are accurate, or that any transaction arranged through the Site will be completed.

15. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising from or relating to your use of the Site.

Our total liability to you for all claims arising from or relating to the Site or these Terms will not exceed the greater of one hundred U.S. dollars ($100) or the amount you paid us in the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Magnum Machines Inc., its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising from your listings, your content, your use of the Site, your transactions with other users, or your breach of these Terms or of any law.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules.

Before filing any claim, you agree to contact us at support@listnowforless.com and attempt to resolve the dispute informally for at least thirty (30) days.

Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the jurisdiction of those courts. Either party may bring an individual claim in small claims court.

18. Changes to These Terms

We may update these Terms. We will post the revised version on this page and update the date above. Material changes take effect thirty (30) days after posting. Your continued use of the Site after that date means you accept the revised Terms.

19. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site.
